1. Acceptance of these terms
These Terms of Service ("Terms") are a binding agreement between Vertigo Tech LLC ("Vertigo Tech," "we," "us," or "our") and the individual or organization that accesses our website, joins our waitlist, or uses our services ("you" or "your"). By accessing the website, submitting your email to the waitlist, or using the Vertigo Tech application (together, the "Services"), you agree to these Terms and to our Privacy Policy. If you are agreeing on behalf of a company or other organization, you represent that you are authorized to bind that entity.
2. Description of the service
Vertigo Tech provides an AI-powered meeting notes service that transcribes calls and meetings and produces structured summaries, including action items, key facts, and extracted dates and deadlines. The Services are currently offered in a pre-launch, private beta and waitlist stage. Joining the waitlist does not create a subscription or guarantee access, and features described on our website may change, be delayed, or be discontinued before general availability.
3. Account eligibility
The Services are intended for business use by organizations and their teams, not for personal or household use. To hold an account once the product is available to you, you must be an employee, contractor, or other authorized representative acting on behalf of the organization that holds the subscription, and you must be at least 18 years old. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account.
4. Acceptable use
You agree not to misuse the Services. In particular, you will not:
- Record or process any meeting without obtaining the consents required by applicable law and by any professional or regulatory obligations that apply to you;
- Upload content you do not have the right to submit, or content that infringes the rights of others;
- Attempt to access accounts, data, or systems you are not authorized to access, or circumvent security or access controls;
- Reverse engineer, resell, or use the Services to build a competing product; or
- Interfere with the integrity or performance of the Services, including by introducing malicious code.
You are solely responsible for complying with the recording, consent, and confidentiality laws and any professional obligations that govern your business.
5. Subscriptions and billing
Paid subscriptions are offered on a per-seat basis through the plans described on our website, currently Starter and Professional at published monthly rates, and Enterprise at custom pricing agreed in writing. Each plan includes a monthly allotment of meeting-hours; unused hours do not roll over. Unless stated otherwise in an order or Enterprise agreement, fees are billed in advance, are non-refundable except where required by law, and are exclusive of taxes.
We may change our prices for future billing periods with reasonable notice. Early-access pricing offered to waitlist customers applies as described at the time of onboarding and is confirmed in your order. Enterprise terms, including custom usage limits and payment terms, are set out in a separate written agreement that controls in the event of a conflict with these Terms.
6. Confidentiality and data ownership
As between you and Vertigo Tech, your organization owns all meeting content, transcripts, summaries, and other data you submit to or generate through the Services ("Customer Data"). We claim no ownership of Customer Data. You grant us a limited license to process Customer Data solely to provide and support the Services for you.
We do not use Customer Data to train or fine-tune our AI models, and we do not sell it or share it for any third party's own training or product-improvement purposes. We handle Customer Data as confidential and protect it as described in our Privacy Policy. Each party will protect the other's confidential information using at least reasonable care. Nothing in these Terms is intended to cause a waiver of any privilege or other legal protection attaching to Customer Data; however, you are responsible for confirming that your use of the Services is consistent with your own confidentiality obligations.
7. Disclaimer of warranties
The Services, including any beta features, are provided "as is" and "as available." To the fullest extent permitted by law, Vertigo Tech disclaims all warranties, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that transcripts, summaries, or extracted dates will be accurate or complete. Output is generated by automated systems and may contain errors; it is your responsibility to review it. The Services do not provide professional advice and are not a substitute for your own professional judgment.
8. Limitation of liability
To the fullest extent permitted by law, Vertigo Tech and its officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to the Services, whether based in contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of the amounts you paid to us for the Services in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
9. Termination
You may stop using the Services and, where applicable, cancel your subscription at any time in accordance with your plan or order. We may suspend or terminate your access if you breach these Terms, if required by law, or if your use poses a security or legal risk, and we will use reasonable efforts to notify you where appropriate. On termination, your right to use the Services ends. You may export Customer Data before termination, and we will delete or return Customer Data in accordance with our Privacy Policy and any applicable agreement. Sections that by their nature should survive termination — including data ownership, confidentiality, disclaimers, limitation of liability, and governing law — will survive.
10. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to any separate written agreement, you agree that the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction and venue in those courts. Nothing in this section limits either party's ability to seek injunctive relief to protect its intellectual property or confidential information.
